Purpose
The Legal Director has responsibility for all commercial aspects of the business from prequalification, tender, and proposal, to commercial management of contracts, including variations and claims management, and to final account close out, including dispute resolution.
The Legal Director has a key role in supporting projects, to successfully deliver the business objectives for profitability and growth.

Accountabilities
- Responsibility for the recruitment and development of project commercial personnel. Development and implementation of cost control and management systems across the business.
- Review of the commercial conditions during the tender phase, build–up of cost estimates and risk reviews. Ensure Bid Reviews are coordinated in a timely manner and outcomes recorded. Work with Business Development to ensure correct shaping of tenders and proposals for Client.
- Work with all functions to ensure effective bids are developed including Construction, Planning, HR, HSEQ, Facility Managers, and intended Project Managers. Work with other business units to develop cross business systems and bidding opportunities.
- Lead bid proposals and tender negotiations with potential clients and develop long term relationships with key clients. Development of contract specific commercial strategies. Leadership of the project commercial teams in contract management and administration.
- Lead and manage effective project contract and commercial change control. Implementation of regular project commercial reviews and audits.
- Preparation of the business commercial and cost reports. Interface with customers on main contract issues. Ensuring early warning of commercial problems and issues. Support development and review of project risk register(s).
- Identify and manage claims and variations to protect the commercial position. Manage dispute resolution.
- Collaborate with the Commercial Team, and the Estimating, Bids and Proposals Team, to lead all aspects of the commercial contract negotiation. Collaborate with internal stakeholders, and vendors, to ensure that negotiated terms are deliverable and support a balanced allocation of risk and reward, in line with Group rules.
- Collaborate with internal stakeholders throughout the negotiation process to ensure compliance with all internal policies. Ensure that timelines for negotiation are credible and realistic, to ensure that planning for new project commencement is aligned with the conclusion of the contract negotiation.
- Support continuous improvement of contract templates. Provide updates to the Senior Leadership Team on the status of contract negotiations and summaries of negotiated positions in key contracts, coaching, mentoring, and training the team on all aspects of commercial negotiation and best practices, and applicable templates.
Competencies
- Monitor, analyse, report, and advise at a senior level on project cash flows and profitability for internal use. Evaluate and advise on the financial implications and appropriate management actions. Provide evidence of reasoned advice, prepare and present reports on the selection of the appropriate form of contract and warranties for your chosen procurement route.
- Advise on the most appropriate contractual procedure at the various stages of a contract. Evaluate the appropriateness and implications of proposed contractual amendments.
- Advise on the selection and application of processes within your area of experience. Including liaison with specialists and consultants to develop project specific design and construction solutions. Report on the impact of different design solutions and construction processes on cost and programme.
- Give reasoned advice on the appropriateness of various procurement routes. Manage the tendering and negotiation process and present reports on the outcome.
- Prepare procurement and tendering reports. Implement change control procedures within the contract.
- Establish reporting regimes/protocols. Advise on appropriate methods of quantification and costing for specific projects.
- Take responsibility for the preparing and issuing pricing documents, pricing, or analysing such documents. Negotiate and agree the valuation of construction works at various stages of the project such as the contract sum, construction, and final account.
- Assess entitlement for extension of time, loss, and expense. Advise all parties of their contractual rights and obligations.
- Provide evidence of reasoned advice on, or implement the principals of, executive programme control of projects, demonstrating a good understanding of planning techniques (pert diagrams, network analysis/critical path methods). Able to initiate and monitor a feasibility study.
- Advise on the economics of design, use of value management and value engineering techniques and on how to undertake a full risk and balance sheet analysis. Recognise and advise on the appropriate methodologies and approach to risk on a project.
- Take ownership of the risk register and advising on appropriate risk mitigation strategies. Able to apply techniques to quantify risk and advising clients on the appropriate level of contingency. Client Care, Data Management, Insurance.
Knowledge, Skills, Experience & Qualifications
- The Legal Director will have extensive contract drafting and negotiation experience.
- A degree in law, or similar is desired, although while it is not necessary for the job holder to have received formal legal training, demonstrated competence in reading, interpreting, and negotiating complex commercial agreements is essential. The Legal Director will have a significant history in negotiating a range of commercial contracts in the Engineering Construction Industry.
- The Legal Director ideally has an Engineering, or Construction background. The Legal Director must demonstrate an ability to establish thriving working relationships with internal and external stakeholders.
- The Legal Director must have excellent written and oral communications skills and demonstrate critical and creative thinking. The Legal Director will have the ability to influence others and demonstrate strong people and project management skills.
- Degree or master's degree in a related field. Extensive experience in a Legal / Commercial role, Leadership experience.
- People skills, Honesty, integrity, and reliability. High diligence, Organisational skills.
- Critical thinking and problem–solving skills, Research skills, Analytical skills. Excellent computer skills, including MS Office, particularly Excel, Word, and Outlook.
