Commercial Legal Counsel at AVP Level Birmingham or Manchester based - Global Banking
The Role - Based in the Bank's Central Legal Team
• Drafting, reviewing and negotiating contracts in order to effectively manage and mitigate legal risk, with an initial emphasis on Commercial / IT contracts and related advice.
• Identifying and addressing legal risk issues arising from:contracts (or non-contractual projects with a technology/commercial and/or Payments legal focus) to be entered into by members of the Group (both within the UK and globally); and
the operations and technology functions' work generally as well as support of the firm's service company, by providing prompt, commercial and pragmatic advice.
• Supporting the supervision and development of colleagues within the commercial contracts team.
• Supporting the management of day-to-day team processes, controls and resources, including matter allocation, capacity management, escalations, queries and maintenance/creation of playbooks/training materials/templates.
Candidate Profile:
• Qualified lawyer 1-4 years PQE either within Practice or In-house - experience ideally with one or more of the following areas: software/fintech, commercial contracts, payments, financial services, e-commerce.
• Strong technical knowledge of commercial agreements and comprehensive experience in negotiating and advising on general commercial/payments/technology contracts, preferably including a range of agreements from the following examples:
• software, data and index licences;
• service agreements;
• consulting agreements;
• hardware and software maintenance agreements;
• software development agreements;
• sponsorship agreements;
• outsourcing services agreements
• card issuing agreements (public and private sector);
• merchant acquiring and payment gateway agreements (public and private sector).
