Head of Company Secretary – Governance

Job Purpose:

To assist the Group Legal Director in the day–to–day operation and management of the Company Secretary function, leading and developing a team, undertaking all duties of Company Secretary & Govenance.

Job Responsibilities:

  • Act as liaison to the Group's Directors, Executive Management and Senior Leadership
  • Lead on, and provide full Company Secretarial duties.
  • Lead on key initiatives to enhance and continually enhance corporate governance and strategy
  • Lead on the adherence of the Group to relevant company law across its jurisdictions
  • Support the Legal Director in all relevant duties and activities
  • Lead on the coordination and administration of all Group Board, Committee and Executive meetings
  • Assist the Group's Directors in their understanding of the relevant regulatory and corporate governance structures and the rules with which they must comply, and to assist with specific internal training if required
  • Manage new Director induction, development and mentoring programmes
  • Support the Legal Director in reviewing Board and Executive meeting submissions and information for quality and timeliness
  • Coordinate and provide exacting level of quality assurance in the preparation and finalisation of Board and Executive meeting papers
  • Provide expert advice to support the effective governance of the Group
  • Support the assessment of Board effectiveness and lead on the implementation of performance improvement plans
  • Develop and coach team, ensuring clear succession plan for Company Secretary Team
  • Ensure Group Directors have a robust understanding of the statutory implications of any proposals made to the Board
  • Oversee and lead the organisation and preparation of agendas for all Board, Committee and Executive meetings as well as annual general meetings (AGMs)
  • In liaison with the Legal Director, monitor and make management aware of any changes in legislation, commenting upon how such changes might impact the business
  • Liaise with the Registrar of Companies as required
  • Support the business with the coordination of the annual Financial Statements and Annual Return and the renewal of the Insurance cover for employees, equipment and premises
  • Maintain relevant statutory books, including registers of members, directors and secretaries
  • Be fully aware of the Company's Health & Safety Policy and to be the nominated individual providing
  • Any other reasonable duties as required


Job Specific Competencies:

Experience

  • Strong experience of corporate governance, administration and management
  • Proven track record of leading a team in a fast–paced environment
  • Extensive experience delivering to exacting standards for Board Directors and Executives
  • Experience of working in the general insurance industry and financial services
  • Previous experience in overseeing and administering of Boards and Committees in multi–jurisdictional environments
  • Institute of Chartered Secretaries & Administrators qualifications preffered or QBE
