We are recruiting for the Investment Company of an HNW family, who are setting up a new office in London. Ultimately, there will be 10-12 people in the UK office and a major part of this role will be to help build and recruit a team.

Reporting in to the CFO and Legal Counsel, we’re looking to appoint an experienced Company Secretary, that can lead the office and all it’s moving parts. This will be a vibrant, active investment office so we need someone with energy and ideas. They are extremely acquisitive, so we’ll need someone with experience in Financial Services, ideally Wealth Management or Investment Management.

The assets span Private Equity, Hedge Funds, Equities and Real Estate. Investments are largely US or European based and it is a very active office with frequent acquisitions and disposals.

The Role:

- Day to day role will be reporting directly to CFO and Legal counsel

- Responsible for all Financial reporting, control, audits, acquisitions, disposals and lots more

- Team management, including recruitment, training and performance reviews

- Liaising with fund directors for meetings, various approvals and general updates

- Organisation of all Board and Committee meetings, including AGMs/EGMs

- Coordination, execution and filing of all board and shareholder documents, agendas, minutes and proxies

- All regulatory and Companies House filings and communications

- attendance of bi-annual board meetings, possibly abroad

- Compliance and KYC oversight

- Supporting major transactions including listings and acquisitions

- Maintaining the company’s policy framework, delegations of authority, formal decisions and statutory registers

- Co-ordination of annual audits and stats

- Main point of contact with key suppliers of tax, compliance and CRS compliance

- Promoting a culture of good practice and team spirit in corporate secretariat activities

The Person:

- A recognised qualification in either Company Sec STEP, Accounting ACA, ACCA or a qualified Lawyer

- At least 10 years’ experience within the Financial Services industry

- Significant proven company secretarial experience

- Experience with public companies, including knowledge of enhanced governance rules, corporate governance codes, directors’ duties, terms of reference, annual general meetings, audit committees, risk committees, and shareholder correspondence

- Knowledge and understanding of UK corporate governance laws, regulations, and rules

- A positive attitude, driven leader and tone-setter

- Someone who will really enjoy building a new team, in a new location
