As the Head of Legal, UK, Koura, you will be responsible principally for supporting the UK and EU business (and the international business that they transact), whilst additionally supporting with projects led from global headquarters in the US. This will provide the opportunity for a skilled Corporate and Commercial Lawyer to progress by developing skills required in a General Counsel or Chief Counsel role, for example enhancing knowledge of areas such as Government Relations. This position reports to the General Counsel of Koura, located in the United States.
Responsibilities of the Head of Legal, UK:
Be a strong legal partner for the Koura business operations in the UK and its international operation, with a focus on corporate and commercial matters, but also providing general legal support for the wide range of matters and issues affecting the business.
Oversee external lawyers (assessment of requirements and ability of external lawyers to provide timely, accurate advice in a pro–active, cost–effective manner) and manage the budget for external engagements.
Support the sales and procurement teams in the negotiation and drafting of sales and purchasing contracts. Analyze a contract's risk and ensure that the contract meets company's risk profile and the business unit's objectives.
Manage dispute resolution, litigation, and employment law matters.
As requested, provide strategic support for Business Groups other than Koura in the U K from time–to–time.
Support Orbia's corporate secretariat to ensure compliance and appropriate governance for Koura entities in the UK, EU (Netherlands), and Asia (Japan, China and Taiwan).
Maintain the corporate records for Koura entities. Prepare and file board minutes and other corporate documentation, maintaining roles of directors and officers and organizing appropriate records.
Koura innovates constantly, so support for technology licensing and joint–development agreements is important.
Work with the General Counsel and business to establish important processes, such as a contract administration process, including the efficient storage/retrieval of contracts, as well as the monitoring and documenting of renewal or termination of contracts.To be successful in this position as Head of Legal, UKit is essential to have a high attention to detail whilst being able to work in a fast–paced environment. The Head of Legal, UK will ideally have built a strong background in commercial law, managing international affairs acquired within a leading law firm or corporation. It would be preferrable if the successful candidate had previous experience working both in–house and for a leading law firm. Additionally, it would be a benefit if candidates had experience in negotiating and drafting international business agreements, particularly focussing on important components of intellectual property. Previous Pharma / Pharmaceutical / Chemical experience would be a good fit.
