Electrosonic's Chief Legal Counsel (CLC) will be the legal advisor to the company. It's the duty of the CLC to oversee every aspect of the business's legal affairs. The CLC's responsibilities typically include lawsuits, regulation compliance and training the Board of Directors, Management and the company's staff to stay within the law in all regions.
What you will be doing?
* Developing and leading corporate legal strategy to promote and protect the company's matters
* Developing and leading internal audit and corporate compliance programs
* Overseeing delivery of legal services and resources to accomplish corporate goals, strategies and priorities
* Maintaining proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community at large
* Participating in the formulation of general management policy as a member of the executive management team
* Managing the Global Legal Department/Function for all Electrosonic Companies
* Support the external Company Secretary on company secretarial matters for all ES legal entities
* Support Board, CEO,CFO and local Managing Director's and their Businesses with all their legal needs
* Be the Owner/Gatekeeper for all relationships with external law firms/advisors (working also with family Offices)
* Negotiate preferential terms with external clients / our internal teams for all contracts/disputes and settlements
* Create, document, implement, train and manage any contract management system
* Responsible for implementing and managing the companies risk register (working with all internal functions)
* Responsible for ensuring the companies' have adequate training on Ethics, GDPR, BRIBERY, SLAVERY, and similar etc
* Collaborate with management to devise efficient defense strategies
* Specify internal governance policies and regularly monitor compliance
* Research and evaluate different risk factors regarding business decisions and operations
* Apply effective risk management techniques and offer proactive advise on possible legal issues
* Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust
* Draft and solidify agreements, contracts and other legal documents to ensure the company's full legal rights
* Deal with complex matters with multiple stakeholders and forces
* Provide clarification on legal language or specifications to everyone in the organisation
Requirements
* Proven experience as a Legal Counsel in business environment with 15 years plus experience.
* Qualified Solicitor/ Attorney
* Excellent knowledge and understanding of corporate law & Dispute Resolution procedures
* Full comprehension of the influences of the external environment of a company
* Demonstrated ability to create legal defensive or proactive strategies
* High degree of professional ethics and integrity
* BSc degree in Law
* Have had relevant BAR experience or similar
