An exciting high-end consumer brand is looking to hire a dedicated corporate lawyer to support its existing corporate lawyer and General Counsel with a range of corporate and financing work.This is genuinely one of the most exciting corporate roles to hit the market in recent months.

As a Legal Counsel you will enjoy an extremely broad role, providing strategic legal advice on a wide variety of legal projects and challenges facing the business across all its departments and countries of operation, with a particular focus on corporate and financing matters.This is a highly visible and exciting role offering exposure to all levels across the business, including the CEO, CFO, and other members of the executiveteam.

Your responsibilities will include:
  • Corporate Transactions:supporting and, where necessary, leading on a range of transactions which may include M&A, fundraisings, joint ventures, secondary share sales, group structuring, reorganisations of share capital and bank financing
  • Share Option Plans:supporting the operation of the company's employee share options plans including developing new plans or adapting existing plans as the company grows and assisting with related matters such as Board and shareholder approvals and HMRC share valuations, maintaining the scheme rules and documentation and assisting participants with exercise request
  • Company Secretarial: overseeing corporate housekeeping, management of constitutional documents and statutory books, and ongoing filing requirements across all countries of operation
  • Corporate Governance: Supporting governance initiatives across all group companies, including advising on the legal rights and duties of the company and its directors globally
  • Strategic projects: Acting as a business partner to help structure and provide legal advice on new strategic initiatives launched by the company from time to time
  • Providinglegal supporton a variety of other matters (eg commercial contracts, GDPR, employment, disputes etc)
What you'll need
  • 1-3 PQE* qualified lawyer in England & Wales
  • Trained in a top-tier law firm.Prior experience in a start-up or tech environment is helpful but not essential
  • Significant corporate experiencewhich ideally must include some ECM work
  • Proven ability to deliver commercial solutions
  • Exceptional written and verbal communication skills (knowledge of German or French would be a bonus)
  • Excellent organisational skills and attention to detail
  • Self-motivated, independent and results-oriented
  • A willingness to roll up your sleeves and undertake an array of tasks - some mundane and routine, and others more challenging
