Role:
  • Oversee all governance and company secretarial activities for the Organisation, subsidiary companies and joint ventures
  • Ensure regulatory compliance is carried out for the organisation in certain areas such as Charity Commission compliance
  • Advise senior stakeholders on their corporate and charity responsibilities, providing advice on corporate and charity governance and best practice
  • Monitor changes in relevant legislation and Charity Commission guidance and plan and take appropriate action in consultation with the General Counsel.
  • Administer and develop existing procedures and processes to streamline the Corporate Governance function
  • Facilitate training for senior stakeholders on governance matters and developments

Profile

Governance Manager

Essential:
  • Demonstrable experience within a Corporate Governance or Company Secretarial position
  • A strong working background of managing Board and Committee meetings
  • Have excellent working knowledge of the UK Corporate Governance Code
  • Knowledge and practical application of charity and company law and Charity Commission best practice.
  • Outstanding stakeholder engagement and influencing skills
  • ICSA qualified
