This is a fantastic opportunity to work for a highly diverse and complex International organisation.

We are looking for an experienced UK based Assistant Company Secretary to provide assistance across company secretarial and legal advisory matters. You will report into the head of department and be responsible for a wide range of matters across a complex organisation.This role has broad dimensions but will include corporate Governance, Regulatory Compliance, M&A activity, real estate and company secretarial administration of both UK and overseas legal entities. Commencing September 2019 and will be for a period of 12 months.

KEY JOB ACCOUNTABILITIES

Provide company secretarial, corporate governance and board support services to a portfolio of UK and international companies, ensuring that their needs are interpreted precisely and responded to correctly and that the client is kept regularly informed of progress and costs;
  • Providing high quality board support, coordinating agendas and papers, attending board, committee and general meetings throughout the UK, taking accurate and comprehensive minutes and circulating for review.
  • Provide support to other aspects of the Corporate Legal Affairs role, including advising the business on contracts, real estate, regulatory compliance and M&A matters (subject to experience and skills).
  • Be fully conversant with the relevant systems, procedures and services of the Corporate Legal Affairs department as a whole and to work with colleagues to ensure that the work processes of the Corporate Legal Affairs department are carried out efficiently and effectively.
  • Work closely with other members of the Corporate Legal Affairs team in identifying areas where current systems and services can be developed.
  • Play an active role in developing and presenting business training initiatives.
  • Instructing and overseeing the work of external legal counsel.
ESSENTIAL KNOWLEDGE, SKILLS & EXPERIENCE

  • Prior legal experience in corporate and commercial roles, whether gained in private practice or in house. Specialist legal knowledge of one or more of company secretariat administration, corporate governance, regulatory compliance, M&A or real estate is highly desirable.
  • A strong and effective communicator, with the ability to build effective working relationships.
  • Flexible approach that applies commercial awareness and common sense in order to adapt to this challenging environment.
  • Current UK based experience with at least 2 years of practical commercial experience.
