Company Secretary
£75k - £85k + package
London
Company Secretary sought by London based real-estate developer. This group is delivering major commercial, residential, educational and community developments in the UK's largest cities. The post-holder will report into the Head of Governance and join the Group Company Secretary in managing the full range of company secretarial activities across the business.
This busy organisation which specialises in the full property development cycle from identifying and assembling sites, developing designs and obtaining planning permissions, through to financing, project management, letting, asset-management and selling. The team is expert in delivering and managing large scale developments and has worked on many iconic projects in London and the UK. Over the past three years the group has grown significantly, resulting in the need to recruit a further dedicated Company Secretary.
The role
In addition to the Head of Governance and the Group Company Secretary, there is an Assistant Company Secretary and a Company Secretarial Assistant in the team. The successful applicant will work in tandem with the Group Company Secretary to have responsibility for all company secretarial duties across projects new and old, and will also work with and mentor the assistants. The reason for the role is an increased level of success in the business and therefore an increased work load.
Specific duties of the role include: organising Board, Committee and Sub-committee meetings, preparing agendas and papers, taking minutes at meetings, advising the sub-committee and supporting the Chairmen as needed on regulatory developments and best practice; corporate compliance for all entities; ensuring the maintenance of statutory records; supporting and advising on Board matters, corporate governance, best practice, regulatory enquiries; supporting on funding transactions; and supporting the Head of Governance with the maintenance and development of appropriate legal policies, procedures, regulations and associated training and monitoring.
The person
The ideal candidate will have a strong company secretarial background and preferably be either ICSA qualified or a qualified lawyer. You should be comfortable supporting and challenging the top management team, whilst being hands on in your style and approach. A good sense of humour is also important.
