Solicitor / Associate, Transactional Services - Shanghai
My international law firm client is looking for a junior level internationally qualified corporate lawyer focusing on general corporate work to join their Shanghai office.
Key responsibilities will include:
- Legal research and drafting of client memos.
- Assisting the corporate team in advising domestic and international clients (including corporates, non-profits, investment banks and PE houses) on a range of general legal issues in China (in particular but not limited to general corporate issues including corporate governance, labour, foreign exchange, anti-corruption, environmental, health & safety, IP, visas);
- Assisting the corporate team in drafting transaction documents (e share purchase agreements, joint venture agreements, IP licenses, service agreements, labour contracts, etc.) in English and Chinese;
- Assisting with due diligence for acquisitions and disposals etc., including research and report drafting.
- Legal translations between Chinese and English;
- Advising on all aspects of new company establishment (corporate governance, capital structure, articles of association, etc.) and handling all registration formalities.
You will ideally have 1-2 years PQE and graduates and post-graduates from PRC top- tier law schools preferred. You will have a PRC or other recognised qualification and be fluent English and Mandarin, spoken and written with strong English and Chinese drafting skills and experience.
A desire for a diverse corporate and commercial law practice, with multiple core competencies, rather than focusing on a single niche practice area is required.
