My client is looking for an experienced Assistant Company Secretary who will report to the Deputy Company Secretary.

More specifically, the role involves:

  • Acting as Secretary to the Board, the Board's Audit Committee and External Risk and Strategy Committee and other groups as appropriate. This includes overseeing the administrative management of these bodies including maintenance of the forward agenda, compilation of agendas and circulation of papers and ensuring meetings run effectively;
  • Preparing minutes and other papers for meetings, as appropriate, in liaison with the Company Secretary and Deputy Company Secretary;
  • Overseeing work undertaken by Company Secretarial Assistant and relevant committee administrators in support of Board and Committee meetings;
  • Overseeing and drafting, as appropriate, sections of the Annual Reports (including parts of the Directors' Report and the Corporate Governance Statement) and ensuring these are compliant with the Companies Act, FSMA and other legal and governance requirements;
  • Ensuring that the Governance documents are reviewed and kept up to date and then published on the relevant websites;
  • Undertaking various corporate governance projects as required Preparing induction programmes for new Board and Committee members;
  • Providing advice on governance issues
  • Deputising for the Manager/Deputy Secretary, when required

About You

  • Recent company secretarial experience or experience of working with senior decision making committees;
  • Previous experience of providing formal meeting and agenda management, minute taking to groups and their members;
  • Previous experience working with senior stakeholders;
  • Previous experience of a "service" type environment (e. dealing with queries/helplines) and using judgement when providing support to others;
  • Proven organisational ability and management of a variety of competing tasks and issues, prioritising appropriately and escalating where necessary;
  • Competence in use of Microsoft Office programmes ;
  • Evidence of teamwork and collaboration;
  • Good written communication skills;
  • Sound attention to detail - can demonstrate taking pride in work and ensuring it is of the highest standard;
  • ACIS or equivalent.

Essential

  • An ability to establish credibility with and inspire confidence in all stakeholders, and to exercise judgment in dealing with sensitive and confidential issues;
  • Good knowledge of corporate governance best practice;
  • An ability to manage stakeholder relationships at all levels;
  • Works well under pressure, with patient manner and calm exterior;
  • Experience of overseeing the work of others or leading a team.
