Corporate Trust / DCM Lawyer (Maternity Cover)

Well regarded international bank is seeking a lawyer with corporate trust or capital markets experience to cover a maternity leave for at least 9 to 12 months'.  The successful candidate will be UK or overseas qualified with the relevant experience and available to start a role in the next 4 to 8 weeks'.  This is an opportunity to join a  great friendly and collaborative team. 

On a day to day basis, the successful candidate will be undertaking the following tasks:

• To provide corporate trust and capital markets transactional and advisory  related legal advice, guidance and support in relation to trustee, agent, common depositary, custodian and banking roles.  The role will require specialist knowledge of conventional debt (bonds), structured debt (repacks and securitisations), syndicated and bi-lateral loans, project and export finance, leveraged acquisition finance, Islamic finance, custody, and escrow products as they relate to the corporate trust industry.
• To advise on and assist transaction managers with the review and negotiation of agency agreements, account bank agreements, cash management agreements, trust deeds, deeds of charge, intercreditor agreements, custody agreements, facility agreements and other deal documentation.
• To keep templates, precedents, instruction letters and guidance notes up to date and assist with any other legal project work and initiatives.
• To assist the trustee desk with post-closing issues including the consideration of default scenarios, amendments, waivers and other exercises of discretion.
