Company/Chartered Secretary - Fund Fiduciary
My client is seeking to hire a permanent ICSA qualified Company Secretary to join their expanding team in Grand Cayman, Cayman Islands. This is a new role.
Responsibilities will include:
- Board meeting support services including creation of agendas, collation and distribution of meeting packs, loading packs to board portal and liaising with relevant service providers.
- Attending client board meetings in the capacity of company secretary including taking minutes of such meetings and ensuring all matters arising from such meetings are actioned and completed appropriately.
- Preparation of company resolutions.
- Assist with additional ad-hoc duties as required.
Qualifications and Experience:
- Professionally qualified as a Chartered Secretary and / or have a law degree from a reputable institution and have a minimum of three years experience as a company secretarial professional to a portfolio of investment funds;
- Consideration may also be given to an otherwise suitable candidate who does not meet the above requirement but who has a Legal Secretary qualification and a minimum of three years experience as a legal secretarial professional to a portfolio of investment funds;
- Extensive experience of attending board meetings to take meeting minutes and the ability to prepare detailed minutes of such meetings.
- A knowledge of legal structures and the ongoing requirements of the Cayman Islands Company Law and CIMA regulations relating to investment funds.
- Proficiency in Microsoft Suite of applications and strong written and oral communication skills are essential.
